Submission terms

Last updated: 12 October 2026

These terms apply when you submit information through the Fairlode questionnaire. Fairlode is operated by Blue Canvas AI Ltd, company number NI737502, registered in Northern Ireland.

Your authority

You confirm that you are acting for a business, are at least 18 and have authority to provide the information and agree to these terms for that business. Your answers must be accurate and complete so far as you know and must not infringe another person's rights.

Descriptions only

The questionnaire is for a high-level description of company records. Do not send or upload source files, datasets, passwords, personal or customer names, health or payment information, trade secrets, confidential material or third-party content that you are not authorised to disclose.

If a later assessment needs more information, it will be requested through a separate, appropriate process and may require an NDA or other written terms first.

What you authorise us to do

You give Blue Canvas AI Ltd a limited, non-exclusive permission to store, copy and review the information in your submission for the purpose of assessing it, contacting you and administering Fairlode.

We may create an internal summary or an anonymised, aggregated description that does not identify you or your business. We will not send an identifiable submission or profile to a prospective partner unless an authorised person at your business separately approves the named recipient, the material to be shared and the purpose in writing.

Assessment and outcomes

Questionnaire rules help us organise and prioritise submissions, but a person reviews the information before a decision to progress it. Submission does not create an agency, partnership, fiduciary or advisory relationship.

We do not guarantee a response time, valuation, level of interest, introduction, offer, transaction or income. Any figures discussed before due diligence and written commercial terms are indicative only.

If an introduction proceeds, your business will decide whether to enter a contract directly with the relevant buyer, licensee or intermediary. You are responsible for your own legal, tax, security, intellectual-property and commercial advice.

Fees and conflicts

Blue Canvas AI Ltd may receive a referral, introduction or success fee from another party, or may agree a separate readiness fee with your business. We will disclose the relevant fee arrangement before an identifiable introduction is authorised. You do not owe a fee merely for completing the questionnaire unless a separate written agreement says otherwise.

Ownership and confidentiality

You keep ownership of the information and rights you already hold. These terms do not transfer intellectual property to Blue Canvas AI Ltd.

We will limit access to people who need the information to assess and administer the submission. The questionnaire is not a substitute for a confidentiality agreement. Do not submit confidential material through it.

Withdrawing a submission

You may ask us to stop assessment or withdraw permission for a future introduction by emailing contact@bluecanvas.ai. Withdrawal does not undo processing or an introduction already lawfully completed, and we may retain limited records where needed for legal, accounting, security or audit purposes.

Our Privacy notice explains retention periods and your data protection rights.

Liability

Nothing in these terms excludes liability where the law does not allow it. Subject to that, Blue Canvas AI Ltd is not liable for indirect or consequential loss, loss of profit, revenue, opportunity, anticipated savings, business, goodwill or data arising from a submission. Our total liability connected with the questionnaire or a submission is limited to £100 unless a later written agreement expressly provides otherwise.

Governing law

These terms and any non-contractual dispute arising from them are governed by the law of Northern Ireland. The courts of Northern Ireland have exclusive jurisdiction, except where a mandatory law gives another court jurisdiction.
